Terms & End User License Agreement

These terms ("Agreement") govern your use of the DryAcre desktop software, the dryacre.com website, and related services (together, the "Software"). By downloading, installing, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

Important: DryAcre is a planning aid, not professional engineering

DryAcre helps you plan and estimate agricultural tile-drainage systems. Its outputs — grades, spacing, pipe sizes, routing, depths, and flow estimates — are computed from the elevation data you provide using simplifying assumptions, and may contain errors or not reflect real field conditions. DryAcre is not a substitute for a licensed engineer, surveyor, or agronomist. You are solely responsible for independently verifying any plan with a qualified professional, and for complying with all applicable laws, permits, and rules (including drainage-district, wetland, easement, setback, and property-boundary requirements) before excavating or installing tile. Do not rely on DryAcre as your only basis for a drainage decision.

1. Who you are contracting with

DryAcre is operated by Brandon Baer, a sole proprietor doing business as DryAcre, located in the State of Illinois, United States ("DryAcre", "we", "us"). Our contact details are in section 19.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is therefore also subject to Paddle's Buyer Terms and Paddle's Refund Policy. This Agreement governs your use of the Software itself.

2. License grant

Subject to this Agreement and to payment of the applicable fee, DryAcre grants you a personal, non-exclusive, non-transferable, perpetual license to install and use the Software for your own tile-drainage planning, on Windows PCs that you own or control, up to the activation limit in section 4. A license is per user.

3. Free trial

The free trial is provided for evaluation. It is time-limited, and certain features (such as saving and exporting) may stop working when the trial period ends. You may not attempt to extend, reset, or circumvent the trial period. All other terms, including the disclaimers in sections 11 and 12, apply fully to the trial.

4. License keys & activation

A purchased license is delivered as a license key and/or a signed license file. Licenses may be locked to the specific computers you activate them on. You may activate a license on up to three (3) computers that you own or control; re-activating a computer you have already activated does not consume an additional activation. If you replace a machine, or need to move your license, email support@dryacre.com and we will reset an activation for you.

Keep your license key and license file confidential. You are responsible for use of the Software under your license, including by anyone you allow to use your computer.

5. Maintenance, updates & renewal

A purchased license is a one-time, perpetual license. It includes a maintenance window of 12 months from purchase, covering every update, fix, and new build released during that window.

  • You keep what you have. When maintenance lapses, the Software you have installed keeps working, forever. You do not lose the build you are running.
  • Lapsed maintenance stops new builds. Updates released after your maintenance window ends require a renewal.
  • Renewals are contiguous. Maintenance renewal is currently $30 per year. Renewing extends your existing maintenance end date rather than restarting it from today — if you have let it lapse, renewal fills the gap, rounded up to whole years. The cost of catching up is capped at the price of a new license; at or above that cap we will offer you a new license instead, which starts a fresh 12-month window.
  • Reinstalling after a lapse. Installers we distribute are the current build. If you reinstall after your maintenance has lapsed, you may receive a build newer than your entitlement and need to renew to keep it updated.

The Software may check for and install updates from our servers. You can change the update source or disable update checks in the application's update settings. Renewal pricing may change; the price shown at the time you renew is the price that applies.

6. Orders, pricing, tax & delivery

Prices are shown in U.S. dollars and are exclusive of sales tax, VAT, GST, and similar taxes, which Paddle calculates and adds at checkout based on your location. Your order is accepted when Paddle confirms payment.

Delivery is electronic. Your installer download link and license are sent to the email address you provide at checkout, normally within a few minutes. You are responsible for giving a working email address and for checking your spam folder. If nothing arrives, email support@dryacre.com and we will resend it.

7. Refunds

Purchases are final and non-refundable except where a refund is required by the consumer law where you live, or in the limited cases set out in our Refund Policy. A free trial of the complete application is available before purchase, and you are encouraged to use it. Nothing here limits your statutory rights; full details, including the cancellation windows that apply in the EU/EEA, UK, and elsewhere, are in the Refund Policy. Because Paddle is the Merchant of Record, any refund is issued by Paddle to your original payment method.

8. Restrictions

Except as permitted by law, you may not: (a) copy, redistribute, resell, rent, lease, or sublicense the Software, or make it available to third parties as a service; (b) reverse engineer, decompile, or disassemble it; (c) circumvent, disable, or tamper with its licensing, activation, or trial mechanisms, or use a license key you did not obtain from us or an authorized reseller; or (d) remove or alter any proprietary notices.

9. Ownership & your data

The Software is licensed, not sold. DryAcre and its licensors retain all rights, title, and interest in the Software, including all intellectual property. Your field data and the drainage plans you create with the Software are yours — we claim no rights in them, and the desktop application does not upload them. See our Privacy Policy for what the application does and does not send.

10. Third-party & open-source components

The Software includes third-party and open-source components — including GDAL/OGR, NetTopologySuite, Mapsui, and Velopack — that are licensed under their own terms. Those terms govern those components and, where they grant you rights that this Agreement restricts, their terms control for that component. Applicable notices and license texts are included with your installation.

11. Disclaimer of warranties

The software is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. DryAcre does not warrant that the software will be error-free, that its calculations or outputs will be accurate or suitable for any site, or that it will operate without interruption.

12. Limitation of liability

To the maximum extent permitted by law, in no event will DryAcre or its operator be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, crops, yield, property, or data, or cost of rework or remediation, arising out of or related to your use of (or inability to use) the software or any drainage plan produced with it — even if advised of the possibility of such damages. DryAcre's total aggregate liability for all claims will not exceed the total amount you paid for your DryAcre license (or, if you have paid nothing, fifty U.S. dollars).

Some jurisdictions do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you; in that case those provisions apply to the fullest extent permitted by law. Nothing in this Agreement limits liability for fraud, or for death or personal injury caused by negligence, where such limitation is not permitted.

13. Your responsibility

You agree that you are responsible for how you use the Software and any plans you create with it, including field verification, professional review where appropriate, and regulatory compliance.

14. Export control & sanctions

The Software is subject to United States export laws. You may not use, export, or re-export the Software in violation of those laws, and you represent that you are not located in, or a national or resident of, a country or territory subject to comprehensive U.S. sanctions, and that you are not on any U.S. restricted-party list.

15. Termination

This license ends automatically if you materially breach this Agreement. On termination you must stop using the Software and remove it from your computers. Sections 9 through 14, 16, and 18 survive termination.

16. Governing law & venue

This Agreement is governed by the laws of the State of Illinois and the applicable federal laws of the United States, without regard to conflict-of-laws rules. The state and federal courts located in Illinois have exclusive jurisdiction over any dispute arising out of this Agreement, and you consent to their jurisdiction and venue. If you are a consumer, this does not deprive you of the protection of the mandatory consumer-protection laws of your country of residence, or of the right to bring proceedings there where such a right cannot be waived.

17. Changes to these terms

We may update this Agreement; the "last updated" date reflects the current version. Changes apply to your continued use of the Software and to future purchases, and do not retroactively change the terms of a purchase you have already made. Continued use after a change means you accept the updated terms.

18. General

If any provision of this Agreement is held unenforceable, the rest remains in effect and the unenforceable provision applies to the greatest extent permitted. Our failure to enforce a provision is not a waiver of it. You may not assign this Agreement without our written consent; we may assign it in connection with a sale or transfer of the DryAcre business. Neither party is liable for delays caused by events outside its reasonable control. This Agreement, together with our Privacy Policy and Refund Policy, is the entire agreement between you and DryAcre regarding the Software.
